Terms of Use — Wialon ChatGPT App

These Terms of Use ("Terms") govern your use of the Wialon ChatGPT App, a Model Context Protocol (MCP) server that lets you interact with your Wialon Hosting account from within ChatGPT (the "App"). The App is operated by UAB Gurtam, Ozo 12A, Vilnius 08200, Lithuania ("Gurtam", "we", "us"). The App works exclusively with Wialon Hosting accounts.

In these Terms, "you" and "your" mean the person accepting these Terms and, where that person enables or uses the App on behalf of an organisation (including the account holder), that organisation (that person represents that they are authorised to accept these Terms on its behalf and to bind it); "account holder" means the person or entity that holds the Wialon Hosting account and is responsible for the data in it; "OpenAI" means OpenAI Ireland Limited and its affiliates that operate or provide ChatGPT; "ChatGPT" means the ChatGPT artificial intelligence service operated by OpenAI.

By installing, connecting to or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

1. Scope

The App is a read-only interface between OpenAI's ChatGPT and your existing Wialon Hosting account. It allows ChatGPT to retrieve fleet information — units, resources, notifications, reports, and related data — and present it back to you as text and interactive cards inside the ChatGPT conversation. The App does not modify data in Wialon Hosting and does not send commands to fleet hardware.

2. Eligibility and Authority

2.1. To use the App you must:

• hold a valid, active Wialon Hosting account and be authorised to access the data within it;
• have a valid ChatGPT account in good standing;
• be at least 13 years old, or the minimum age required to use ChatGPT in your country, whichever is higher.

2.2. Access to Wialon Hosting itself is governed by the agreement between you and Gurtam or between you and your authorised Wialon Hosting partner or reseller through which access to the Wialon Hosting account was obtained; these Terms cover only the App.

2.3. By enabling the App you confirm that:

• (i) you are the account holder, or are authorised by the account holder, and by any other party responsible for the data (including in respect of any personal data of drivers, employees or other individuals accessible through that account), to access that data and to disclose it to OpenAI;
• (ii) you are not aware of any restriction imposed by the account holder, a Gurtam partner or reseller, or any other upstream party that would prohibit that disclosure; and
• (iii) any privacy notice or transparency information required to be provided already discloses that data may be made available to third-party AI services such as ChatGPT.

3. Authorisation

The App connects to Wialon Hosting on your behalf via OAuth 2.0. By approving the connection you grant the App permission to read data from your and/or the account holder's Wialon Hosting account under the wialon:read scope only. The resulting access token is stored encrypted on Gurtam-controlled infrastructure and is used solely to fulfil your requests inside ChatGPT. You can revoke this authorisation at any time from the Apps settings in ChatGPT, which terminates the App's ability to access your and/or the account holder's Wialon Hosting data.

4. How the App uses the Wialon Hosting data

4.1. Enabling or using the App, and any resulting disclosure of data from the Wialon Hosting account to ChatGPT, is done on your own instruction where you are the account holder, or otherwise on the instruction of the account holder or any other party responsible for the data given by or through you, and in each case at your risk, including where you access the account as a customer or user of a Gurtam partner or reseller. Enabling or using the App constitutes a documented instruction to Gurtam to make the requested data available to ChatGPT, given through these Terms and the account, the Wialon Hosting and/or the App settings. Where a data processing agreement applies to Gurtam's provision of Wialon Hosting to the account holder, this documented instruction is given under, and constitutes a complete and final instruction to Gurtam under, that agreement in respect of the transmission of data from the Wialon Hosting account to ChatGPT through the App; no further instruction is required for that transmission.

4.2. Gurtam's role is limited to transmitting the requested data to ChatGPT on that instruction. From the point the data is made available to ChatGPT, it is processed by OpenAI as your (where you are the account holder) or the account holder's own AI provider, under your (where you are the account holder) or the account holder's agreement and account with OpenAI, and not by OpenAI acting as Gurtam's sub-processor. Gurtam has no responsibility for that data, or for ChatGPT's processing, onward transfer, storage or use of it, from that point, whether or not OpenAI also acts as Gurtam's sub-processor for other Wialon Hosting features. Gurtam's access to and transmission of the data up to the point it is made available to ChatGPT are carried out as part of the Wialon Hosting service and remain subject to the data protection terms applicable to Gurtam's provision of that service under the relevant agreement. You acknowledge that OpenAI and its affiliates may process the transmitted data outside the European Economic Area, and that you (or the account holder) are solely responsible for the lawfulness of any such transfer under Chapter V of the General Data Protection Regulation. For the avoidance of doubt, in respect of its role as the AI service accessed through the App, OpenAI is not a sub-processor of Gurtam under any data processing agreement that may apply to the Wialon Hosting account, and Gurtam is not required to notify the account holder of OpenAI as such a sub-processor under that agreement, even where OpenAI may also act as a sub-processor of Gurtam for other Wialon Hosting features.

4.3. You are responsible for using a ChatGPT plan and account settings that are subject to appropriate data protection terms and that do not use your inputs to train models, where such a plan or setting is required for your use to be lawful and is available to you. ChatGPT, and any use of the data within it (including any use to train or improve models), are governed solely by the agreement between you (or the account holder) and OpenAI and by that ChatGPT account's settings.

4.4. The App does not expose any tools that create, update, or delete data in Wialon Hosting, send commands to tracking devices, or affect billing. All operations are read-only. If a future version introduces write operations, they will be clearly labelled and require additional explicit consent.

4.5. You acknowledge that the App can access all data readable by your Wialon Hosting account, which may include personal data of individuals you do not control (for example drivers or clients within shared or parent resources). You are responsible for limiting the data you request and disclose through the App to what you are authorised to disclose.

4.6. You acknowledge and accept that, once data is made available to ChatGPT: (a) OpenAI and its affiliates may retain that data for as long as their own terms and settings permit; (b) that data may be used to train or improve models, subject to the ChatGPT plan and account settings you or the account holder have chosen; (c) that data may be transferred to and processed in countries outside the European Economic Area; (d) Gurtam is unable to compel OpenAI to delete, rectify, restrict or return that data, or to respond to data-subject requests in respect of it, on your behalf; and (e) any breach of, or unauthorised access to, that data within OpenAI's environment is outside Gurtam's control and responsibility.

5. Acceptable Use

You agree not to:

• use the App to access data you are not authorised to access in Wialon Hosting;
• use the App to abuse Wialon Hosting API quotas, rate limits, or terms of service;
• reverse-engineer, scrape, or attempt to bypass the security or access controls of the App, ChatGPT, or Wialon Hosting;
• use the App in violation of OpenAI's usage policies or applicable law;
• disclose to ChatGPT through the App any data you are not authorised to disclose, or use the App contrary to any restriction imposed by the account holder or an upstream party;
• represent that any output of ChatGPT is provided, verified or endorsed by Gurtam;
• use the App, or any data or results obtained through it, to profile, score, rank or evaluate drivers, employees or other individuals, to make or materially influence decisions about a person's employment, discipline, safety or other similarly significant matters, to serve as the sole basis for any such decision without meaningful human review, or for any practice that is high-risk or prohibited under applicable artificial intelligence legislation.

6. Your responsibilities

You are responsible for all use of the App under the Wialon Hosting account (including use by anyone you permit to use it), for all data disclosed through it, and for the consequences of that use. In particular, you are responsible for: (a) having a lawful basis for disclosing the data to ChatGPT; (b) giving any notices to, and obtaining any consents from, drivers, employees and other individuals that the law requires; (c) any data protection impact assessment that may be required; and (d) checking results against the original data in the Wialon Hosting account before relying on them. You must not enable the App for an account, or disclose data through it, unless you are authorised to do so.

7. Privacy

Use of the App is also governed by the Gurtam Privacy Policy, which explains what personal data we collect, how we use it, and your rights. The App processes only the data necessary to operate the connection: an encrypted Wialon Hosting access token, the Wialon Hosting host you connected to, your Wialon Hosting user identifier, and short-lived session data. Gurtam may also retain operational logs of tool calls made through the App for security, abuse-prevention, audit and troubleshooting purposes, in accordance with Gurtam's retention schedules; those logs do not include the content of your ChatGPT conversations. This clause describes only the connection and operational data that the App itself processes; the fleet data you disclose to ChatGPT through the App is handled as set out in clause 4. Because OpenAI and its affiliates may process data outside the European Economic Area, disclosing data to ChatGPT may involve a transfer to a third country, for which you or the account holder are responsible under the agreement with OpenAI.

8. The App Is Provided "As Is"

8.1. The App is provided on an "as is" and "as available" basis.

8.2. To the maximum extent permitted by law, Gurtam disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that any data returned is complete or up to date.

8.3. Results shown in ChatGPT are generated automatically, may be inaccurate, incomplete or out of date, and must be verified against the source data in Wialon Hosting before being relied on; they must not be used as the sole basis for any significant decision.

9. Limitation of Liability

9.1. To the maximum extent permitted by law, Gurtam and its affiliates are not liable for (a) any processing of data by or within ChatGPT or by OpenAI, any output of ChatGPT, or any decision or action taken on the basis of the App or its outputs; or (b) any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunities, arising out of or in connection with your use of, or inability to use, the App.

9.2. To the maximum extent permitted by law, Gurtam's and its affiliates' total aggregate liability to you arising out of or in connection with the App shall not exceed EUR 10. These Terms are in addition to, and do not limit, any further limitation or exclusion of liability available to Gurtam under any other agreement.

9.3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

10. Indemnity

You will indemnify Gurtam and its affiliates against any claim, loss, liability, cost or expense (including reasonable legal costs) arising out of (a) your disclosure of data through the App without authorisation or a lawful basis, (b) your breach of clause 5 or clause 6 of these Terms, or (c) any claim by a data subject, controller or supervisory authority relating to data you disclosed through the App, except to the extent caused by Gurtam's own negligence or wilful misconduct. This clause does not apply to the extent you use the App as a consumer and the indemnity would be unenforceable against you under mandatory consumer law.

11. Suspension and Termination

We may suspend or terminate your access to the App at any time, with or without notice, if we reasonably believe that you have violated these Terms, or that your use creates a security, legal, or operational risk to the App, to Wialon Hosting, or to other users. You may stop using the App at any time by disconnecting it from your ChatGPT Apps settings.

12. Third-Party Services

The App connects the Wialon Hosting account to ChatGPT. ChatGPT is a third-party service provided by OpenAI under its own terms, and Gurtam is not responsible for its availability, changes, content or processing. Gurtam is likewise not responsible for any other third-party services.

13. Changes to the Terms

We may update these Terms from time to time. Non-material changes take effect on the date shown as "Last updated" above. For material changes, Gurtam will provide at least 30 days' prior notice within the App and, where an email address is available, by email, before the change takes effect. Continued use of the App after that period constitutes acceptance of the updated Terms; if you do not accept a material change, you may stop using the App by disconnecting it as described in clause 11.

14. Governing Law and Disputes

These Terms are governed by, and must be interpreted in accordance with, the laws of the Republic of Lithuania. Each party submits to the non-exclusive jurisdiction of the Courts of Lithuania in relation to any dispute connected with these Terms, except where mandatory consumer-protection rules of your country of residence apply.
